GENERAL CONDITIONS
These terms and conditions consist of two parts. The first part applies to the use of Hello Genius
SARL/Ltd ("Hello Genius") products (as defined below) (A). The second part applies to the
application membership program called Goalique (B).
The Goalique application is only available on Android and integrated in Hello Genius products for
now, mainly in Africa, and only concerns users from Africa countries. Goalique is an application
created by Hello Genius Ltd.
Part A: Hello Genius
At Hello Genius, our goal is to support our users in their soccer career and provide them with the
best possible experience. To achieve this, we have updated our Terms and Conditions ("T&C")
which clearly outline rights, responsibilities, our privacy policy and full details about our
products and services.
The latest version of our T&Cs - efective as of January 01, 2022 - will be available to you at any
time. Please take your time to read them before using Goalique.
INTRODUCTION
• Who we are. Hello Genius, based in Douala, Cameroon operates an interactive online
platform ("Platform") and mobile applications ("Apps" and together with the Platform, the
"Goalique Products") aimed at connecting and creating new opportunities for soccer players.
Hello Genius offers a number of Apps outside and in connection with the Platform's
services.
• Registration. In order to use the full spectrum of Goalique, a unique registration is required.
• Our objective. Hello Genius's objective is to facilitate the recruitment of footballers and to
make a positive contribution to young people’s carrer.
• Disclaimer. Hello Genius is not responsible for your conduct. Hello Genius content, whether
provided by its partners or its users, is not intended to supplement, or replace information

provided by the industry or government or sport administrators. By accepting these
T&Cs, you confirm that you are solely responsible for your behavior.
1. VALIDITY OF T&C
•
Validity. Hello Genius ofers services on the basis of these GTC. The user consents to the
validity of these T&Cs and any agreements incorporated therein by reference either by using
the Goalique Application (i), in case they are available without registration, or (ii) by
registeration, in
case they require an account.
• Prerequisite. Neither registration nor use of full range Hello Geniuis's services is possible
without consent to these T&C.
• Scope These T&Cs apply to all access points, including (sub)domains and mobile
applications, to Hello Genius products. In particular, the Goalique App will be accessible via
Google Play for now but may be extended to Apple Users subsequently without notice.

2. PURPOSE OF THE AGREEMENT
• Currently, Hello Geniurs essentially offer its users the following features and
information in multiple languages:
- Platform:
- Personal profile page, including personal details;
- Brief news about Goalique;
- Content, such as texts, images and videos, related to sports, health and nutrition, presented
by Goalique and third party professionals (sports coaches, trainers, etc.);
- Status messages;
- A blog featuring company information, products, health and fitness news in long form;
and
• Other contents, such as
- About us : Brief description about Goalique
- Company offer: Goalique ad’s offers to companies ; -
Goalique and/or third party advertisement;
- User Support;
- Privacy Policy and these Terms and Conditions; -
Press and Media Center;
- jobs; and
- Legal information
3. Apps

• Applications for iPhones, Android phones and other smartphones and devices worldwide, which can
be used both separately on the smartphone and in conjunction with the platform.

• Subject to the user's consent, relevant data is transmitted from the smartphone to the Platform
and shared with other social networks (e.g., Facebook), Please see our Privacy Policy for
more information.

• The user hereby confirms that he/she is aware that the transmission of data from the
smartphone to the platform entails certain costs of the mobile operator which must be borne
by the user.
• The mobile applications are only available to users with smartphones and other devices. Only
the basic functionality of the mobile applications is available for free.
• The additional conditions set by the cell phone providers are applicable.
4. REGISTRATION
Free registration. The minimum age for registration is 10 years. However, when the registration
concerns a minor, it can only be accomplished with the consent of his parents, guardians or legal
representatives; who must first read and accept the present Terms of Service (ToS)
By registering and participating in the Platform, you declare that you meet these eligibility
requirements.
The "free membership" (basic) only provides users with the basic options and features of the Apps
("free features").
Hello Genius's Goalique ofer users three ways to register:
Via the registration form provided on the Platform;
- Via the contact form: For the purpose of registration, the user must provide the data
requested on the registration form, for example, first name, last name, date of birth, in a
complete and correct manner, unless such data is marked as voluntary.
- Through the adoption by Goalique. The registration data provided by the user on
Facebook: The registration via Facebook which the user has previously provided on
Facebook, will be adopted by the Goalique network. The user can then add or reduce these
data in his/her profile on the Platform; or,
- If available in your country: via the registration forms provided by Hello Genius on its
websites and/or applications.

5. Premium membership.
1. A Goalique Premium service for "Premium members" ("Premium membership"), with all options
and features, is also available for a fee. With this Premium Membership, additional options and
features ("Premium Features") that are not available for free members, are unlocked. Goalique can
ofrer the Apps with or without the premium membership. Premium features are available for that
specific app.
2. The specific terms and conditions for Premium Members shall apply to Premium Membership.
Unless otherwise specified in the T&C, all other provisions of these T&C shall also apply to Premium
Members.

3. By registering as a Premium Member, you confirm that you meet the age requirements set in
applicable law and are therefore legally entitled to enter into contracts.
6. Consequences of registration

1. By registering, the user confirms that he/she has read and fully accepts the contents of these terms
and conditions, that all registration data is true, accurate, current and complete and that he/she
undertakes to keep all registration information up to date.
2. Each user has to register to Goalique only once, and confirms with his registration that he has not
registered any account with Goalique before and that he has not deleted any previously activated user
account.

3. Upon successful registration, the user (hereinafter "the registered user") can log in to the platform
either by entering his/her email address and chosen password(i) or by logging in via Facebook (ii).
7. Rights of Hello Genius

1. Hello Genius reserves the right to reject users without giving reasons. In this case, the transmitted data
will be promptly deleted.
2. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Hello Genius
has reasonable grounds to suspect that such information is untrue, inaccurate, not current or
incomplete, Hello Genius has the right to suspend or terminate your account immediately and without
notice and to refuse any and all current or future use of the Premium Services (or any portion
thereof), without the Registered User being entitled to a refund of any amounts previously paid.
3. In any case, Hello Genius reserves the right to contact you at any time to verify your registration data.
4. Identity of the user. Hello Genius is not responsible for the actual or accuracy of identity of the user, as
personal identification via the internet is only possible to a limited extent. Each user must confirm
the identity of other users before entering into any form of interaction with them, for example, by
adding them as friends or writing messages.
8. GENERAL CONDITIONS FOR ALL USERS
• Protection against fraud.
1. You must protect your account from unauthorized and fraudulent use. Please notify us immediately
by email at info@hellogeniuslab.com of any unauthorized or fraudulent use of your account, or if you
believe that your account is at risk.
2. Hello Genius will not refund any amounts paid by you until you report unauthorized or fraudulent
use of your account.

3. Hello Genius has the right to close or cancel the account of any registered user in case of
unauthorized or fraudulent use of the account.
• Promotions and free offers. Hello Genius may run promotions and free offers, which may be subject
to additional conditions or restrictions. These promotions and free offers cannot be transferred
between users.
• Changes to the Apps. Hello Genius reserves the right to change the options or features - including
premium features - of the Apps. In most cases, Hello Genius makes changes to the Apps to
improve or enhance them. Provided that the changes will not have a material adverse efect on
your use of the App, Hello Genius will not refund any amounts previously paid, unless otherwise
provided.
9. SPECIAL TERMS AND CONDITIONS FOR PREMIUM MEMBERS
Subscription requirement. In order to use Goalique's Premium Service for Premium Members, you must
be a Registered User(i), and pay the stipulated price(ii), including applicable vat if any, and any other
fees or amounts associated with the Premium Services, by credit card, via AppStores, or any other form
of payment accepted by Goalique (i.e the "Subscription").
Types and prices of subscriptions. Goalique offers diferent Subscription periods so that you can choose the
one that best suits your needs. The diferent types of Subscriptions and applicable prices can be viewed
here on : www.goalique.com or in the Application Stores. All prices are subject to change at the discretion
of Hello Genius at any time. Any price changes will be announced on the Platform or in the Application
Stores.
Payment. Payment is made in advance for each subscription period. In other words, you can select the
subscription period that best suits your needs to access the Premium Services. Once you have registered and
paid for the subscription, the selected term will be associated with your account.
• Payments for the entire term of your Premium Membership are due immediately upon billing.
Payment can be made using diferent online payment systems. If Hello Genius is unable to collect
fees from a user-designated account due to a lack of funds, the user shall bear all resulting costs,
including bank fees related to any debit entries or similar charges. Hello Genius may issue invoices
and payment reminders to the user via email.
Automatic Renewal. Upon expiration of your Subscription period, your credit card will automatically
be charged the standard subscription price that was valid at the time of the Subscription, i.e., special
ofers do not apply in this case, and your Subscription will be renewed for the same period of time,
unless you cancel your Subscription, at least prior to the expiration of your current Subscription. The
standard Subscription price can be viewed on the Platform and in the Application Stores.
• Cancellation. You may cancel your subscription to the Hello Genius Goalique Premium Service
for Premium Members at any time by initiating the cancellation on the Platform or via the
ApplicationStore. Except as otherwise provided in Section 8. Hello Genius will not refund any
amounts previously paid.

• Termination. Subject to section 6.4, relating to the lack of cancellation of a user's subscription, each
subscription period will only end at the expiry of the agreed period, and regardless of the user's
actual use of the Hello Genius Goalique Premium service for Premium members during that period.
Each user can check the duration of the current subscription period by viewing his account
information.
• Contact. Please contact us with any questions you may have or report any violations of the premium
terms in this Section 6 at info@hellogeniuslab.com.
• Application of Other Rules. Except as otherwise provided in this Section 6, all other provisions of
these Terms of Use shall apply equally to Premium Members.
10. STOPPING PRODUCTION

Interruption of applications. Hello Genius reserves the right to discontinue one or more
applications. All users will receive a notification of the discontinuation of the application. After this
notification, Premium Members will be able to use the application for the duration of their current
subscription. Subscription period. Please note that during this period, the following two limitations
apply: - It may not be possible to download the application to another device.
- Hello Genius will not update the App during this period. This means that if your device's
operating system is updated or other relevant third-party technical services change during
this period, it may no longer be possible to use the App. Hello Genius assumes no liability
in this regard.

If you purchased your Premium Membership through an Application that will be discontinued, your
membership will not automatically renew and will expire at the end of your current membership. If
you purchased your Premium Membership through another Application - which will not be
discontinued - automatic renewal as described will still occur.
Subject to the two limitations described above, only if Hello Genius is unable to provide you with the
opportunity to use the Application until the end of your current Subscription period, are you entitled to
a pro rata refund of your current Premium Subscription payment. In this case, you may contact
Goalique (see section 6.7) to request for refund.
Notice. Hello Genius may give notice as mentioned in section 7.1 by notifying you either by email
or by communication in Goalique products.
11. TERMINATION
General. Each user has the right to terminate the use of Goalique products at any time via their
account settings. This termination will be confirmed to the user.
Hello Genius's right to terminate. In addition, Hello Genius reserves the right to terminate a user's
membership for important reasons, for example due to gross violations of the user's obligations
as defined in these T&C and ancillary agreements.

Additional Information. Please see section 7.5 of our Privacy Policy for more information on deleting
your account.
12. SPECIAL RIGHT OF CANCELLATION FOR CONSUMERS

• Application of consumer laws. If you are a Registered User and you use the Goalique Products for a
purpose that is not related to your independent business or professional activity, the following
provisions apply to you as a consumer within the context of the Cameroonian Law, which
establishes the legal framework for consumer protection in the country. This law applies to all
transactions relating to the supply, distribution, sale and exchange of technology, goods and services
relating to consumer protection.
• Right to terminate the agreement. You may terminate your agreement with Hello Genius in writing,
such as by writting a letter or email, within 14 days from the date the agreement was entered,
without giving any reasons. You can terminate the agreement by sending your notice to
info@hellogeniuslab.com
• Consequences of cancellation. In case of cancellation, the benefits received by one party from the
other must be returned, and the economic benefits obtained must be refunded. If you are unable to
return to Hello Genius the services rendered, in whole or in part, you are obliged to reimburse Hello
Genius for the value lost - based on the time of use of the services rendered. This may mean that
you are required to fulfill your payment obligations proportionately until the cancellation has
become efective. Fee refund obligations must be fulfilled within 30 days. For you, this period
begins at the time you send your contract cancellation. And for us at the time of receipient.

13. USER OBLIGATIONS AND CONDUCT
• Obligations of the user. Each user of the Goalique Products shall:
• Provide truthfully, and keep up to date and complete, his registration data, and not to transmit them
to third parties;

• only save, publish, transmit and distribute such content, for example photos, images, texts, performances videos, if the
user is authorised to transmit them, i.e. if the user has the exclusive right to use such content (i) or, in case the user is
not the owner of such rights with regard to the content he/she provides, if the user guarantees to Hello Genius that all
required rights, licences, permits, etc. have been validly obtained (ii). This also applies to content that is subject to
intellectual property rights, such as rights to literary and artistic works protected by copyright, trade names and brands.
The user is exclusively responsible his content;

• not to record, publish, transmit or distribute any content that is racist, insulting, discriminatory,
denunciatory, sexual, advocating violence or otherwise illegal;
• not to send chain letters or messages to more than one recipient at a time, i.e. the user should not
send mass emails or spam;
• not to interfere with the Goalique network, including Goalique products, through the use of technical
or electronic aids, such as hacking attempts, brute force attacks, virus/worm/trojan implantation and
other disruptive attempts on Goalique software or hardware;
• not to copy, distribute, transmit or collect by the use of technical aids, for example by crawlers or
bots, accessible details without the consent of the respective owner;
• to take diligent care of personal data and to allow only those persons to access their own data who
are close to the user; and
• Regularly back up important personal details externally, for example to an external storage medium,
such as hard drive or in the cloud. Goalique is not responsible for the loss or corruption of this data.
14. BREACH OF USER'S OBLIGATIONS
Sanctions. In order to ensure the correct and reliable supply of Goalique products, Hello Genius
imposes the following sanctions in case of violation of obligations by a user:
WARNING;
- content deletion;
- temporary deactivation of the user account; and
- cancellation (irrevocable deactivation).
• The type of sanction will depend on the purpose, impact and type of violation in light of the interests
of Goalique and the user.
Cancellation. If a User Account is cancelled in accordance with this section, the affected User will not
be permitted to re-register.
15. CONTENTS

• General. Hello Genius allows its Registered Users to use the portfolio of ofers of Goalique
Products in accordance with statutory law and these TOU, in order to upload, save, publish,
distribute, transmit and share content with other users.
• Tracking. The user agrees that, as a result of automatic evaluation of the way they use the platform,
they may be exposed to certain offers and/or marketing messages tailored to that user. Please see our
privacy policy regarding tracking for marketing purposes.
• Disclosure. Hello Genius shall have the right to save the Content or disclose the Content to third
parties, to the extent required by law, or permitted by law and reasonably necessary, in order to:
- comply with legislation, court orders or administrative orders;
- ensure compliance with these terms and conditions;
- respond to complaints of violations of the law from third parties; or
- Protect the rights, property or personal safety of Hello Genius, its users and the general
public.
• Use of content. The user grants Hello Genius the irrevocable, free, non-exclusive and unlimited right
to use all the content generated, transmitted, recorded and published by the said user Accordingly.
Hello Genius will have the right to use, regardless of the type of use, all content both in the Platform
and in any other activity of Hello Genius or any company afliated to Hello Genius. This includes
the right to modify and edit such content, unless such modifications or edits are detrimental to the
material interests of the user. In this regard, the user waives, to the extent permitted by law, all
intellectual property rights. However, to the extent possible, in the event that Genius uses content
created by a user outside of the Goalique Products, Hello Genius must note that such content was
generated by the user.
• Ownership. Hello Genius does not claim ownership of any user-generated content and will not
monitor such content.
• Deletion. Hello Genius reserves the right to delete content created by users, such as routes,
photos, events or comments without giving reasons. In this case, the user will be informed and, in
case of violation of these GTC, he/she can be sanctioned according to article 2. 12.
• Inaccurate content. Hello Genius is not responsible for inaccurate content created by users, for
example, details of routes or events, etc.
16. PRIVACY POLICY

• Please see the separate privacy policy on the application.
17. REPRESENTATIONS AND WARRANTIES
Limitation. Hello Genius does not represent or warrant that :

- the Goalique products will be available at all times, or that they and the necessary
hardware and software will be completely free of errors; and
- the transmission of data via other systems, in particular the Internet and
telecommunication networks, is not traced, recorded or distorted by third parties.

• Own risk. The user uses the Goalique Products exclusively at his/her own risk.
• uploading of user and third party content; and any use by the user of data created or provided by
Hello Genius including, but not limited to The user explicitly acknowledges that such data or content
may contain errors, and Hello Genius does not assume, to the extent permitted by law, any
responsibility for the accuracy of such data.
• External content. Furthermore, Hello Genius makes no representations or warranties with respect to
external links, banners or other information and marketing offers that may be made available to the
user. Any contractual arrangement between the user and a third party provider, for example via
linked websites or banners, entails a contractual relationship between said user and the third party
provider only. Hello Genius makes no representations or warranties with respect to the products or
services of third party suppliers.
18. LIMITATION OF LIABILITY
Hello Genius is only liable as currently provided by law, regardless of the legal basis for such
liability (pre-contractual, contractual, tort), if Hello Genius Goalique has caused a certain damage
intentionally or by gross negligence. In case of slight negligence, Hello Genius is not liable to other
companies and is only liable to consumers for personal damages. Hello Genius is not liable to
companies for consequential damages, mere pecuniary losses, loss of profits or damages resulting
from third party claims.
Content. Except as required by law, neither Hello Genius nor any of its business afliates are liable for
damages resulting from the use of Content made available through the use of the online platform or
other forms of use of the Goalique Products. This also applies to damages resulting from errors,
problems, viruses or data loss.
Downloads. Hello Genius assumes no responsibility for material downloaded or material obtained as a
result of using the Goalique Products. The Registered User is solely responsible for any damage
caused by such material to his/her computer or smartphone system or for any information lost as a
result of downloading material from any of the Goalique Products.
Disputes. The Registered User is exclusively responsible for any claim or legal action of any kind,
derived from or related to disputes with other users. The registered user acknowledges and agrees
that Hello Genius will not, under any circumstances, be liable for the acts and omissions of other
users, including any damages associated with such acts or omissions.
19. COMPENSATION TO USERS

Indemnification. The user shall indemnify Hello Genius for all claims raised by third parties as a result
of an infringement of their rights by the user in relation to content uploaded to or on the Goalique
Products by that user or as a result of any other use by that user of the applications available from
Hello Genius Goalique. The user will bear the costs of any legal proceedings, in which Hello Genius
may be involved in relation to such claims, including all court costs and attorney's fees to the extent
permitted by law,
unless the user was not at fault in causing such infringement.
Support. In the event that a claim is brought by a third party, User will promptly, honestly and
completely make available to Goalique all information available to User that may be necessary to
verify and defend against such claim. Any additional claim for damages that Hello Genius may be
entitled to bring against the user will not be afected.

20. AMENDMENTS TO THE T&C

General. Hello Genius reserves the right to modify these TOU from time to time for a number of
reasons, including, but not limited to, for business reasons, to comply with applicable laws or
regulations, or for customer service purposes. At all times, the then-current version of these TOU is
available for review on the Platform as well as in the Apps.
Modifications. In the event of minor changes to these T&C (if, for example, a change in the law
requires us to change these T&C), we may simply make the new T&C available for viewing on the
Platform and in the Apps. Please review these T&C regularly to ensure that you understand the
updated terms. For any material changes to these T&C that will have a material adverse impact on
you, Hello Genius will either obtain your specific consent to the changes through communication in
the Goalique Products, or Hello Genius will notify you of any changes at least two weeks prior to the
efective date of the changes via email to the address provided during registration ("Change
Information"). Upon receipt of the change information, you will have a two week objection period.
Information regarding changes will include (i) the updated TOU, (ii) the efective date of the changes,
(iii) a two-weeks objection period, (iv) information about the consequences of failing to object.
If you do not object to the changes, the updated TOS will be considered accepted.
In case you object to the changes, Hello Genius has the right to terminate the user agreement and
delete your user account, taking into account your interests if the continuation of the contractual
relationship under the current conditions is not possible or unreasonable for Hello Genius.

Written Form. Subject to the foregoing, any changes to these TOU must be made in writing. There are
not oral ancillary provisions.

21. MISCELLANEOUS
Severability Clause. In the event that individual provisions of these T&C are or become invalid, all
other terms and conditions shall remain in full force and efect.
Applicable Law and Jurisdiction.
These TOU and all contractual relations and disputes between users and Hello Genius are governed
by the laws of Cameroon, excluding the conflict of laws provisions of the United Nations Convention
on Contracts for the International Sale of Goods.
Place of delivery and exclusive jurisdiction is Douala, Cameroon.
